- "ERP Services" pertains to the AI-powered solutions provided by The Genie, designed to assist in the management of a restaurant's operations, including but not limited to analytics, reporting, inventory management, and data-driven decision-making tools.

- "Takeout Services" refers to the service that allows Users to order food for pickup or takeout from various Partner restaurants through The Genie's platform.

- "Data Ownership" means the rights and interests that Partners retain over the data generated from their operations and interactions with The Genie's Services.

 

User Account and Access

User Account Creation

To utilize the full spectrum of The Genie’s Services, users may be required to create an account. When creating an account, users agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. Users agree to promptly update account and other information, including email address and credit card numbers and expiration dates, so that we can complete transactions and contact you as needed. Registration must be done by a human. Accounts registered by 'bots' or other automated methods are not permitted and will be deleted without notice. Each user is responsible for whatever happens on their account and must report any unauthorized accesses in a timely manner.

Account Responsibilities

As a registered user, you are responsible for safeguarding your account details, including passwords and other sensitive information. You are solely responsible for all activities that occur under your account and agree to notify The Genie immediately of any unauthorized use of your account. The Genie cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements. You may be held liable for any losses incurred by The Genie or any other user of or visitor to the Site due to someone else using your Genie ID, password, or account.

User Obligations

Any conduct by you that, in The Genie’s discretion, restricts or inhibits any other person or entity from using or enjoying any of The Genie’s Services is strictly prohibited and may result in the termination of your access to the Services.

User-Generated Content

The ERP Services may integrate with third-party services. While The Genie strives to offer seamless integrations, we are not responsible for the performance of third-party services or their compliance with applicable laws. You agree that The Genie shall not be liable for any issues arising from the use of any third-party services.

Order Placement and Processing

When placing an order through The Genie’s platform, you are making a direct offer to purchase the product from the selected restaurant. Upon receiving your order, we will send an acknowledgment email confirming receipt. This confirmation does not constitute acceptance of your order; the contract between you and the restaurant is only formed when we send you confirmation via email that the restaurant has accepted your order.

Payment and Pricing

All prices listed on The Genie’s platform are determined by the partner restaurants. The Genie takes no responsibility for the pricing of food items. Payment for all orders must be made in full at the time of ordering via our secure payment mechanisms.

Any claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You agree that, by entering into these terms, you and The Genie are each waiving the right to a trial by jury or to participate in a class action.

 

General Provisions

These Terms constitute the entire agreement between you and The Genie and govern your use of the Service, superseding any prior agreements between you and The Genie (including, but not limited to, any prior versions of the Terms).

No Waiver

The failure of The Genie to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without The Genie’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. The Genie may assign or transfer these Terms, at its sole discretion, without restriction.

In accordance with the Indian Copyright Act, 1957, The Genie has adopted a policy of terminating, in appropriate circumstances and at The Genie's sole discretion, users who are deemed to be repeat infringers. The Genie may also limit access to the Service and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Counter-Notification Procedures

If you believe that your content has been removed in error or misidentified, you may send us a counter-notice with the following information:

The Genie values its partnerships with various restaurants and food service providers. Users acknowledge that by using The Genie’s platform, they consent to the sharing of transactional data with our restaurant partners for the purpose of fulfilling orders and enhancing service delivery. All data shared will be in compliance with our Privacy Policy and relevant data protection laws.

This document and any documents referenced herein represent the entire agreement between The Genie and the user regarding the use of The Genie’s services.
